Terms of Service

SoftLedger runs this website. When we say "we," "us," or "our," that's us. We're offering you everything on this site—all the info, tools, and services—but only if you accept all our terms, conditions, policies, and notices. Using this site or our services means you're entering into our "Service" and agreeing to follow these terms and conditions ("Terms of Service" or "Terms"). This includes any other terms and policies mentioned here or linked from it. Everyone on the site has to follow these Terms, whether you're just browsing, buying something, maintaining an account, or posting content. Read through this carefully before you use the site. By accessing any part of it, you're agreeing to the Terms. If you don't agree with everything in here, don't use the site or our services. If we're offering these Terms, you're accepting them exactly as written. When we add new features or tools, they're covered by these Terms too. Check back here whenever you want to see the current version. We can update or change any part of these Terms by posting the changes on the site. You should check this page now and then to see what's new. If you keep using the site after we post changes, that means you accept them.

SECTION 1 - SERVICE TERMS

By accepting these Terms, you're saying you're either at the age of majority where you live, or that you are and you've given us permission to let your minor kids use this site. Don't use our services for anything illegal. When you use the Service, follow the laws in your area—especially copyright laws. Don't send us worms, viruses, or anything designed to destroy things. If you break these Terms, we stop your access right away.

SECTION 2 - GENERAL CONDITIONS

We can refuse service to anyone for any reason whenever we want. Your content (not including payment info) might move across networks without encryption and go through different systems to work with whatever devices or networks are involved. Payment information stays encrypted the whole time it travels. You can't reproduce, copy, sell, or use any part of the Service without written permission from us. This covers the Service itself, how you use it, and any contact info on the site. The section headings here are just for convenience and don't change what these Terms actually say.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We're not responsible if the information here isn't accurate, complete, or up to date. This site gives general information only. Don't make decisions based only on what's here—look at better, more complete, or more current sources. Anything you rely on from this site is your own risk. Some of the information here is old. Historical information is what it is, and we're just providing it as reference. We can change the site whenever we want, but we don't have to update anything. You're responsible for checking the site for changes.

SECTION 4 - MODIFICATIONS TO THE SERVICE AND PRICING

Prices can change without warning. We can modify, pause, or shut down the Service (or any part of it) whenever we want without telling you. We're not liable to you or anyone else if we change prices, pause, or stop the Service.

SECTION 5 - SERVICES (if applicable)

Some services only work through this website. They might have limits and can be changed or removed based on our Service Agreement. We've tried to show exactly what our services can do. We can't promise your screen will display everything correctly. We can limit which people or places get to use our services, and we decide this case by case. We can also limit how much you access or what you can do. All the descriptions and prices can change anytime without notice—that's our call. We can stop any service whenever. Any offer we make on here doesn't apply where the law forbids it. We don't promise the services will be what you want or that any problems will get fixed.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We can turn down any order you place. We can limit quantities or access per person, organization, or account however we see fit. This applies to orders from the same account, with the same payment method, or from the same billing and contact info. If we change or cancel an order, we'll try to reach you at the email, address, or phone number you gave us. We also reserve the right to block orders that look like they're coming from resellers. You need to give us current and accurate account information for all transactions. Update your account details right away, including your email and payment method, so we can complete your orders and get in touch. See our Service Agreement for more.

SECTION 7 - OPTIONAL TOOLS

We might give you access to third-party tools that we don't monitor, control, or have anything to do with. You're using these tools "as is" and "as available." We don't make any promises about them and we're not endorsing anything. We're not responsible for anything that happens when you use them. When you use these optional tools, it's entirely on you. Make sure you know and agree with the terms from whoever's providing them. We might add new services or features to the site later (including new tools and resources). Those are covered by these Terms too.

SECTION 8 - THIRD-PARTY LINKS

Some of the stuff available through our Service comes from other companies. Links on this site might take you to websites we don't run. We're not checking or vouching for what's on those sites. We're not liable for anything third-party sites do or any problems they cause. If you buy something or use a service through a third-party site, that's on you. Read their policies carefully before you deal with them. If you have a problem with something they're selling, contact them.

SECTION 9 - USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

If you send us stuff we asked for (like feature requests) or if you just send us ideas, suggestions, proposals, or anything else (online, email, mail, whatever), we can use it however we want. We can edit it, copy it, publish it, translate it, or use it in any medium. We don't have to keep it private, pay you for it, or even respond. We can monitor, edit, or remove content that we think is illegal, offensive, threatening, or otherwise wrong. We can also remove stuff that violates someone's rights or breaks these Terms. Your comments can't violate anyone else's rights—no copyright, trademark, privacy, or personal property stuff. They also can't be illegal, abusive, obscene, or contain viruses or malware that could hurt the Service or any related site. Don't use a fake email, pretend to be someone else, or mislead us or anyone else about where your comments came from. You're responsible for what you say and whether it's true. We're not liable for anything you or anyone else posts.

SECTION 10 - PERSONAL INFORMATION

SECTION 11 - ERRORS, INACCURACIES AND OMISSIONS

The site or Service might have typos, mistakes, or missing information about services, prices, deals, or what's available. We can fix errors and update or cancel things if information turns out to be wrong, without giving you notice first (even after you've placed an order). We don't have to update anything in the Service or on the site, except when the law says we have to. If you see a date that says when something was updated, don't assume everything on the site has been updated since then.

SECTION 12 - PROHIBITED USES

Beyond what else is in these Terms, you can't use the site for anything unlawful. Don't push others to break the law, break any rules or laws in your area, steal our ideas or someone else's, harass or hurt people based on who they are, post lies, upload viruses or malicious code, collect other people's private info, spam, phish, or try to hack us or other sites. We can shut off your access if you do any of this.

SECTION 13 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We don't promise the service will run without stopping, be fast, stay secure, or have no bugs. We don't guarantee that using the service will give you accurate or reliable results. We might pause the service for as long as we want or shut it down anytime without warning. You're using the service at your own risk. Everything we give you through it comes "as is" and "as available" with no promises of any kind, whether stated or implied. That includes no promises about how it works, what it's made for, how long it lasts, or that it's not stealing anyone's ideas. Neither we, our directors, officers, employees, partners, agents, contractors, interns, suppliers, service providers, nor anyone licensing this to us can be held liable for any injury, loss, or damages—direct, indirect, or special—including lost money, lost data, or replacement costs. This applies whether the problem comes from a contract issue, negligence, or anything else, and whether or not we knew it could happen. It covers anything related to using the service or buying something through it. Some places don't let companies limit liability for certain damages, so if that's where you are, we're only liable up to what the law allows.

SECTION 14 - INDEMNIFICATION

You agree to cover us, our parent company, subsidiaries, partners, officers, directors, agents, contractors, service providers, suppliers, and employees against any claim or lawsuit from a third party that comes from you breaking these Terms or violating anyone's rights or the law.

SECTION 15 - SEVERABILITY

If any part of these Terms gets ruled unlawful or unenforceable, that part stays enforceable to the extent the law allows. The rest of the Terms keep working.

SECTION 16 - TERMINATION

Whatever each of us owes before the end date stays owed after the agreement ends. These Terms stay in effect until either of us ends them. You can stop anytime by telling us you don't want our Services anymore, or just by leaving the site. If we think you've broken these Terms, we can end the agreement right away without warning. You'll still owe us everything up to that point, and we can block your access to the Services.

SECTION 17 - ENTIRE AGREEMENT

Us not enforcing something in these Terms doesn't mean we're giving up the right to enforce it later. These Terms, plus any policies or rules we post on the site, are the whole agreement between us. They replace anything we said before, whether in person or in writing. Don't read anything unclear in these Terms as being against whoever wrote them.

SECTION 18 - GOVERNING LAW

Ontario law governs these Terms and any separate agreements where we give you Services.

SECTION 19 - CHANGES TO TERMS OF SERVICE

You can always see the current version of the Terms here. We can update, change, or replace any part of these Terms by posting updates on the site. Check back periodically. If you keep using the site after we post changes, you're accepting them.
